STOCK PHOTO LICENSE AGREEMENT

This Stock Photo License Agreement (“Agreement”) is entered into between Micah Laplante and Laplanet Industries LLC (“Licensor”) and the purchaser (“Licensee”).

By purchasing, downloading, or using the included photographs, Licensee agrees to the terms of this Agreement.

1. Licensed Content

This Agreement applies to all photographs included within the purchased photo pack (“Licensed Content”).

2. License Grant

Licensor grants Licensee a perpetual, non-exclusive, non-transferable license to use the Licensed Content for:

• Marketing and advertising materials

• Social media posts

• Websites, digital media, and printed promotional materials

• Internal business use

This license is limited to use solely within Licensee’s own business.

3. Ownership & Copyright

All Licensed Content remains the exclusive property and copyright of:

Laplanet Industries LLC

This Agreement does not transfer ownership or copyright.

4. Restrictions

Licensee may not:

• Sell, sublicense, redistribute, share, or give away the Licensed Content

• Include the Licensed Content in stock libraries, templates, NFTs, or resale products

• Allow third parties outside of Licensee’s business to use the Licensed Content

• Claim authorship or copyright over the Licensed Content

5. Editing & Modifications

Licensee may edit the Licensed Content only for formatting purposes, including but not limited to:

• Cropping

• Resizing

• Color correction

• Aspect ratio adjustments

Such edits do not constitute a new or original work and do not override the non-redistribution restrictions of this Agreement.

6. No Obligation for Additional Work

Licensor is under no obligation to provide additional edits, revisions, replacements, or custom work related to the Licensed Content.

7. No Returns or Refunds

Due to the digital nature of the Licensed Content, all sales are final. No returns, refunds, or exchanges are provided.

8. No Warranty

Licensed Content is provided “as is” without warranties of any kind, express or implied, including but not limited to fitness for a particular purpose or non-infringement.

9. Limitation of Liability

Licensor shall not be liable for any damages arising from the use or inability to use the Licensed Content, including but not limited to lost profits, business interruption, or indirect damages.

10. Termination

This license automatically terminates if Licensee violates any term of this Agreement. Upon termination, Licensee must cease all use of the Licensed Content.

11. Governing Law

This Agreement shall be governed by the laws of the United States and the applicable state jurisdiction of Licensor.

12. Entire Agreement

This Agreement constitutes the entire agreement between Licensor and Licensee regarding the Licensed Content and supersedes any prior agreements or understandings.
